By accessing or using the Rosvelt platform (“Service”), operated by Rosvelt LLC (“Rosvelt,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.
Rosvelt is an AI-powered software development platform that provides autonomous agents capable of planning, coding, testing, and deploying software features. Our agents integrate with your existing development tools and workflows, including but not limited to GitHub, GitLab, Linear, Jira, Notion, Slack, Figma, Vercel, and AWS. The Service is a paid platform; pricing details are discussed during the onboarding process.
To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use.

Your Code: You retain full ownership of all code, content, and materials that Rosvelt agents produce on your behalf. The output generated by the Service for your projects belongs to you.
Our Platform: Rosvelt retains all rights, title, and interest in the Service, including our proprietary technology, agents, algorithms, user interface, and documentation. These Terms do not grant you any rights to our trademarks, branding, or intellectual property.
All code generated by Rosvelt agents is submitted through your standard pull request and code review workflow. Nothing is deployed to production without human review and approval. You are ultimately responsible for reviewing, approving, and deploying any code generated by the Service.
To provide the Service, Rosvelt agents access your codebase and integrated tools with the permissions you grant. We treat your code and project data as confidential. Please refer to our Privacy Policy for detailed information on how we collect, use, and protect your data.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform scheduled maintenance, updates, or modifications to the Service. We will make reasonable efforts to notify you of any planned downtime.
Rosvelt is a paid service. Pricing, billing cycles, and payment terms are established during your onboarding and outlined in your service agreement. Failure to pay may result in suspension or termination of your access to the Service.
To the maximum extent permitted by law, Rosvelt shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to your use of the Service. Our total liability shall not exceed the amounts paid by you to Rosvelt in the twelve (12) months preceding the claim.
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Rosvelt does not warrant that the code generated by agents will be free of errors or suitable for any specific purpose.
You acknowledge that the Service uses artificial intelligence to generate code and related outputs. While our agents produce production-grade code with automated testing and quality checks, AI-generated output may contain errors, vulnerabilities, or inaccuracies. You are responsible for reviewing, testing, and validating all code before deploying it to production. Rosvelt is not liable for damages resulting from the deployment of unreviewed AI-generated code.
You agree to indemnify, defend, and hold harmless Rosvelt, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any code deployed to production using the Service without adequate review.
Each party agrees to maintain the confidentiality of the other party's proprietary and confidential information. Rosvelt treats your codebase, project data, and business information as confidential. You agree not to disclose Rosvelt's proprietary technology, pricing terms, or non-public features without prior written consent.
Either party may terminate this agreement at any time with written notice. Upon termination, your access to the Service will cease. You may request export of your data within 30 days of termination. We reserve the right to suspend or terminate your access immediately if you violate these Terms. Sections 5, 10, 11, 12, 13, 14, and 17 survive termination.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page, updating the “Last updated” date, and notifying you via email or through the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must discontinue use of the Service.
These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Wyoming. Each party shall bear its own costs, and the prevailing party shall be entitled to recover reasonable attorneys' fees.
These Terms constitute the entire agreement between you and Rosvelt regarding the Service. If any provision is found unenforceable, the remaining provisions remain in full effect. Our failure to enforce any right or provision does not constitute a waiver. You may not assign or transfer these Terms without our prior written consent. Rosvelt may assign these Terms in connection with a merger, acquisition, or sale of assets.
